Vendor Loan
A vendor loan is a loan granted by the seller to the buyer to finance part of the purchase price. It is frequently used to close financing gaps between the purchase price and the buyer’s available equity or debt.
For the seller, the vendor loan represents a residual risk but can at the same time act as a signal of confidence in the company’s further development; terms such as interest, maturity and subordination are subject to negotiation.
