SPA (Share Purchase Agreement)

The SPA is the central contract in a share deal and governs, among other things, the purchase price, the purchase price mechanism, warranties, indemnities, liability and conditions precedent. In negotiating and drafting the SPA, lawyers play the leading role, but coordinate closely with M&A advisers, tax advisers and the company’s management and shareholders.
