Due Diligence

Due diligence is the systematic examination of the target company by the buyer and its advisers ahead of a transaction. Typical workstreams are commercial, financial, tax, legal, IT, HR and ESG due diligence.

The aim is to identify and quantify opportunities and risks, to test the plausibility of the valuation and to derive requirements for the contractual arrangements, warranties and indemnities.
